Terms of Use

The service

Deck Gap provides an automated, informational analysis of investor decks uploaded by users. It is a diagnostic and educational tool only.

Not a broker-dealer, funding portal, or investment adviser

Deck Gap is not a registered broker-dealer, funding portal, investment adviser, or authorised person under FSMA. We do not arrange, broker, or facilitate investment transactions, and we do not guarantee introductions, meetings, or funding of any kind. You are solely responsible for your fundraising decisions and for your own compliance with applicable law.

Not financial or investment advice

Deck Gap does not provide financial advice, investment advice, or any regulated activity under the Financial Services and Markets Act. Nothing generated by this tool constitutes an offer, recommendation, or arrangement in relation to any investment. If you need regulated financial or investment advice, consult an authorised professional.

No advisory or regulated relationship formed

Using Deck Gap, including the Free Tier, any paid report, the personal review included in the Consultation tier, or any subsequent contact through the "get expert help" or "explore funding options" links, does not create a client relationship, advisory relationship, or fiduciary duty of any kind. The personal review is a product feature of the Consultation tier, not a consulting engagement. A separate, explicit engagement is required before any advisory relationship exists.

No guarantee of accuracy

Your score and gap analysis are produced by automated analysis. They may be incomplete, out of date, or contain errors, and are not a substitute for professional due diligence, legal review, or financial advice. You should independently verify any figure or claim before relying on it.

No guarantee of fundraising outcome

A high score, a completed report, or acting on any recommendation in this tool does not imply, predict, or guarantee investor interest, a successful raise, or any particular valuation outcome.

No investor introduction

Deck Gap does not introduce, match, or route users to investors as part of the core service. Any separate expression of interest in funding support is handled outside this tool and is not automated.

Confidentiality

Use of the deck upload feature is governed by the mutual confidentiality agreement signed before upload, which sets out the specific obligations on both parties.

Data security limitation

We use reasonable technical and organisational measures to protect your data, but no storage or transmission system can be guaranteed 100% secure. You accept this residual risk by using the service.

Free Tier limit

The Free Tier is limited to 1 upload per verified account. Further analysis beyond this requires the Gap Tier or above.

Ownership of scores, analysis, and outputs

The score, gap analysis, category framework, and report format generated by Deck Gap are our intellectual property. You receive a personal, non-transferable licence to use your own report for your own fundraising purposes. You may not resell, redistribute, or use your report (or the tool's outputs generally) to build, train, or benchmark a competing product.

Payment

Paid reports are available on a one-off basis: the Full Report (£49), and the Investor Readiness Session (£295, includes SAFE and pro-rata modelling, a 60-minute call, and a personal review). Where you upgrade from a lower tier, you are only charged the price difference. Fees are non-refundable once the report has been generated.

Chargebacks and payment disputes

If you believe you were charged in error, contact us before initiating a chargeback with your card provider. An unwarranted chargeback may result in suspension of your access and recovery of the disputed amount plus any reasonable costs incurred in contesting it.

Limitation of liability

To the maximum extent permitted by law: Deck Gap's total aggregate liability arising out of or in connection with your use of the service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount you paid for the report giving rise to the claim in the 12 months preceding the claim. Deck Gap is not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, or data, including any loss arising from a failed, delayed, or unsuccessful fundraise. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. (Interim wording, pending full review by a qualified solicitor before public launch.)

Indemnification

You agree to indemnify and hold Deck Gap harmless against any claim, loss, liability, or expense (including reasonable legal costs) arising from: your breach of these Terms or the confidentiality agreement; your misuse of the service; your upload of content you do not have the right to share, or that infringes the intellectual property, confidentiality, or other rights of any third party; or your violation of any applicable law in connection with your use of the service. (Interim wording, pending full review by a qualified solicitor before public launch.)

Governing law and disputes

These Terms are governed by the laws of England and Wales. Before starting any formal dispute, the complaining party must first contact us in writing and allow 30 days for good-faith resolution. Any claim must be brought within one year of the event giving rise to it, to the maximum extent permitted by law.
